I agree to become a wholesale  independent agent for  Sarasota Auto Mart, LLC.  As a wholesale independent agent I will be permitted to buy, sell, or trade used vehicles between other dealers or rental companies as a wholesale independent agent under the dealer license of  Sarasota Auto Mart, LLC. And be permitted to attend  dealer only auctions.

INDEMNIFICATION AND HOLD HARMLESS

Independent agent he or she hereby certifies that they do not have a criminal felony record and will indemnify and hold harmless Sarasota Auto Mart,LLC. for any acts or omissions taken by the independent agent that violate any rule, regulation, law or ordinance of the State of Florida or any other state, federal or local authority or any of the auctions as they may apply to the display, use, sale or purchase of used motor vehicles or any other acts or omissions made in the capacity or while acting as an independent agent for Sarasota Auto Mart, LLC.. Independent agent will adhere to all auction rules and will indemnify and hold harmless Sarasota Auto Mart, LLC. for any acts or omissions.

OWNERSHIP

All independent agents must  purchase vehicles at the  delaer-only auctions with either cash or certified check.  Each independent agent must keep a record of each vehicle bought and sold for a minimum period of five years. These records will be made available for audit by request of Sarasota Auto Mart, LLC to ensure compliance with State sales and use tax and Federal forms and tax returns. Filing of all forms and taxes is the sole responsibility of the independent agent.

INSURANCE SURCHARGES

Independent agent hereby certifies that they have a valid state driver’ s license issued by the State in which they reside which is in good standing and that they have no DUI’s , DWI’s, suspensions or more than one moving violation in the last five years. The  independent agent will be solely responsible for any increases in insurance due to their actions (i.e. traffic tickets, DUI, DWI etc.)  the increase in premium will be solely paid by the party whose actions led to the increase. Independent agent must notify Sarasota Auto Mart, LLC. within 24 hours of any accident, motor vehicle violation.  Failure to do so will be considered a breach of this agreement. These surcharges will become due and payable within 10 days of billing. These charges, if any, are above and beyond the monthly rent.

WORKMEN’S COMPENSATION AND WITHHOLDING TAXES

Independent agent is responsible for their own workmen’s compensation insurance and their own withholding tax.   Each independent agent will receive  a 1099at the end of each year.

                                               
MEMBERSHIP FEES

Independent agent will pay $4,988.00 Annually as rent. Payable in monthly installments of $499.00.  Each agent will pay a one-time fee of $2,500.00 to cover training, State license fees, criminal background checks, dealer set-up and the cost of promotional, sales and training materials.  A breach of any of the terms of this contract will render this agreement null and void.  All payments are non-refundable.

   
SERVICES RECEIVED

In consideration of monies paid, independent agents will be given access to all auctions nationwide with a nationwide access photo ID where they can go and purchase and sell used vehicles using their own funds, either cash or certified check.  They will receive one dealer license plate to transport cars to and from auctions.  Included in the fee is garage liability insurance for the dealer plate.  Independent agents are also offered on-going training as well as all leads in their respective locations that are generated from the internet and toll-free number.
